Shares purchased through the DealMaker platform are typically securities in private companies, and selling them is not the same as trading on a public stock exchange. There are important legal and practical restrictions to be aware of.


⚖️ Regulatory Restrictions

Most offerings on DealMaker are conducted under Regulation Crowdfunding (Reg CF), Regulation D (Reg D), or Regulation A+ (Reg A). These rules limit when and how shares can be sold.

Under Regulation Crowdfunding (Reg CF):

  • You cannot sell your shares for the first 12 months, unless it is to:

    • The issuer

    • An accredited investor

    • A family member

    • In connection with your death or divorce

    • As part of an offering registered with the SEC

Under Regulation D:

  • Resale restrictions depend on the exemption used and holding period rules (often at least one year for restricted securities).

Under Regulation A+:

  • Shares may be transferable, but liquidity is limited and there may be no secondary market.

🔐 What If I Want to Sell?

At this time, DealMaker does not facilitate secondary trading or resale of securities through the platform.

To pursue a sale or transfer, you should:

  1. Review the terms of the offering or your subscription agreement.

  2. Contact the issuer to determine if transfers are permitted and what process they require.

  3. Consult the transfer agent to confirm the eligibility of your shares for transfer and to understand the process. The transfer agent will provide guidance on any regulatory holding periods and the steps required to transfer your shares to a brokerage account.

🏛️ Post-IPO Shares: Trading and Brokerage Transfers

Once a company goes public, shares typically become eligible for trading on the open market. To trade your shares post-IPO, you need to transfer them to your brokerage account. Here’s how:

  1. Obtain a Book-Entry Statement: Request a book-entry statement from the company’s transfer agent. This document verifies your ownership of the shares.

  2. Initiate the Transfer: Use the book-entry statement to transfer your shares to your brokerage account.

  3. Trade on the Open Market: Once the shares are in your brokerage account, you can trade them like any other publicly traded stock.

Note that DealMaker does not support secondary market trading or post-IPO stock transactions.
