I'm marked as “funded” or “accepted”, now what?

Understanding your investment status stages

Once you've signed and funded your investment, it moves through several stages before your securities are issued. Here's what each status means:

  • Funded: Your payment has been received and recorded. Your subscription is now queued for issuer review. Payment method affects timing — card is near-instant, bank-to-bank transfers can take up to 5 business days, and until the transfer clears the investment shows as "pending". Once a wire lands, the investment is marked as funded.⁠⁠

  • Pending Acceptance: The company (issuer) is actively reviewing your subscription agreement and has yet to formally accept the investment by countersigning it.⁠ No action is needed from you. Timing varies by issuer; the countersignature stage can roughly take ~2+ weeks but is tentative and depends on the issuer's own review and closing cycle.⁠

    ⁠You contact the issuer's investor support team for an expected acceptance timeline.⁠

    ⁠​This stage also depends on the investor clearing KYC/AML and background checks, and being included in a closing.⁠

  • Accepted: The issuer has countersigned and has approved your subscription. The investment is now closed and the investor is now an "Accepted Investor". Your securities are now being prepared for issuance by the Issuer's Transfer Agent.

  • Shares Issued: The Issuer's Transfer Agent will issue the securities in the investor's name. If the issuer has appointed DealMaker Transfer Agent, the shares are issued digitally in book-entry form (no paper certificates) and you will receive a Book-Entry Statement, viewable in the Investor Dashboard under My Companies → Investments.⁠ Timelines vary with the size of the raise and issuer decisions.

If you have successfully signed and funded your investment, the next step is for the company to review your subscription and issue your securities. This process can range from the same day to a few weeks.

Processing and Delays

Delays can occur due to payment processing times—especially with bank-to-bank transfers, which may take up to five business days to clear. Other common reasons for delays include pending document verification or backend processing for share certificates.

Issuance of Securities

Once your agreement moves to the “accepted” stage, the company’s SEC-registered Transfer Agent will issue your securities. The timeline for issuance depends on factors such as the overall size of the raise. We recommend reaching out to the company you’re investing in for a specific estimate on when your securities will be finalized.

Accessing Your Shares

Generally, securities are uploaded directly to your account within a few weeks of acceptance. Monitor your DealMaker account regularly for updates; status shifts from 'Payment' to 'Pending Acceptance' or 'Accepted' indicate your investment is moving through the final stages.
